1. Who these terms apply to
These Terms of Service govern your use of this website (degheady.com) and, once agreed on a separate engagement letter or contract, your use of services provided by Degheady Consulting ("we", "us", "our"), based in Berlin, Germany. By submitting an enquiry through this site or entering an engagement with us, you agree to these terms.
2. What we provide
We provide AI automation advisory and implementation services, currently the AI Sales Assistant and the Financial Reporting AI, built around a client's existing workflow. The exact scope, deliverables, and timeline for any engagement are confirmed separately in writing (email or a signed proposal) before work begins. Nothing on this website constitutes a binding offer; it is a description of services available for discussion.
3. Fees and payment
Engagements are structured as a one-time setup fee plus an ongoing monthly retainer, the amounts of which are agreed with each client individually based on scope. Setup fees are due before implementation work begins unless otherwise agreed in writing. Retainer fees are billed monthly and cover ongoing operation, monitoring, and adjustment of the delivered system. Late payment may result in suspension of services until the account is brought current.
4. Client responsibilities
You are responsible for providing accurate information about your workflow, systems, and data during setup, for reviewing any AI-generated output before it is sent or acted upon, and for maintaining the security of any credentials or access you provide us for implementation. We are not responsible for consequences arising from inaccurate information you provide.
5. AI-generated output
Our tools generate drafted content, including follow-up emails, CRM summaries, and financial reports, using artificial intelligence based on the data and notes you provide. This output is a draft intended for human review, not a guaranteed-accurate final product. We are not liable for actions taken on AI-generated output that was not reviewed before use. We recommend all AI-generated content be reviewed by a qualified person on your team before being sent to a third party or relied upon for a decision.
6. Intellectual property
You retain ownership of your own business data, call notes, and financial information at all times. We retain ownership of our underlying methodology, tools, prompts, workflows, and any proprietary systems used to deliver the service. Nothing in an engagement transfers ownership of our underlying tools or systems to you, unless explicitly agreed in writing.
7. Limitation of liability
To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees paid by you to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from use of our services or any AI-generated output.
8. Termination and right to refuse service
Either party may terminate an ongoing engagement with written notice, on terms confirmed in the individual engagement agreement. We reserve the right to suspend or terminate access to any tool, service, or communication channel, and to refuse or discontinue service to any individual or company, in cases of abusive conduct, non-payment, misuse of a delivered system, or a materially false representation made to us during onboarding.
9. Website use
You may not use this website to submit false information, attempt to disrupt or gain unauthorized access to its underlying systems, or use its contact form for any purpose other than a genuine business enquiry.
10. Governing law
These terms are governed by the laws of Germany. Any dispute arising from these terms or an engagement with us that cannot be resolved directly will be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
11. Changes to these terms
We may update these terms as our services evolve. The date at the top of this page reflects the most recent update. Continued use of this website or an active engagement after changes are posted constitutes acceptance of the updated terms.
